Terms of Service

These Terms together with our Privacy Policy govern your access to and use of FunctionFly. Capitalized terms used below have the meanings given here or in the Privacy Policy.
1. Acceptance of terms
These Terms are between you and FunctionFly LLC, a Wyoming limited liability company doing business as FunctionFly (“FunctionFly,” “we,” “us,” or “our”). By accessing or using FunctionFly's services (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity.
2. The Service
FunctionFly provides a cloud platform to publish, discover, run, and manage serverless functions and related developer tools. Depending on your plan and configuration, the Service may include or interoperate with features such as:
- Function registry, versioning, execution, and multi-runtime / multi-provider deployment workflows
- Dashboard, documentation, CLI, SDKs, APIs, webhooks, and playground or testing utilities
- AI agent identities, execution APIs, policies, quotas, concurrency controls, and usage-based or wallet-based charges for calls
- Optional trust, verification, attestation, or analytics surfaces (including scores, certificates, or execution metadata)
- Secrets vault and related cryptography features designed so that certain secrets are not readable by us in plaintext
- Billing, subscriptions, invoices, team or organization features, and add-on products we may offer from time to time
We may modify, suspend, or discontinue any part of the Service; we will try to give reasonable notice for material changes where practicable. Some features are labeled beta, preview, or similar and may be less reliable or change without notice (see Section 12).
3. Accounts and security
To use certain features, you must register for an account. You agree to:
- Provide accurate, current, and complete information and keep it updated
- Maintain the confidentiality of passwords, API keys, tokens, and other credentials
- Accept responsibility for all activities under your account, including actions by your employees, contractors, and automated systems
- Notify us promptly of unauthorized access or suspected compromise
- Not share accounts in a way that circumvents plan limits, security controls, or billing
You must be at least the age of digital consent in your jurisdiction (and at least 13 in the United States) to use the Service. We may refuse service or close accounts that appear fraudulent, abusive, or out of compliance.
4. Acceptable use
In addition to applicable law, you agree not to use the Service to:
- Violate any applicable laws or regulations, including privacy, export, sanctions, and intellectual property laws
- Infringe the rights of others or harass, threaten, or defraud anyone
- Distribute malware, exploit vulnerabilities, or attack our or others' systems (including denial-of-service or credential stuffing)
- Mine cryptocurrency, run botnets, send spam or bulk unsolicited messages, or operate deceptive or illegal schemes
- Scrape, crawl, or harvest the Service in violation of our documentation or technical limits, or bypass rate limits and access controls
- Overload or harm our infrastructure or other customers' use of the Service
- Reverse engineer, decompile, or attempt to extract source code of the Service except where applicable law prohibits that restriction
- Impersonate any person or entity or misrepresent your affiliation
- Use the Service to process illegal content or content you are not authorized to process
- Process or transmit regulated or highly sensitive data (for example payment card data subject to PCI DSS requirements or protected health information) unless we have expressly agreed in writing that the Service is approved for that use case
We may investigate suspected violations, throttle or block traffic, remove content, suspend accounts, and cooperate with law enforcement where required.
5. Your content and license to us
“Your Content” means functions, code, configuration, data, prompts, secrets metadata, manifests, and other materials you submit to the Service or cause the Service to process. You retain ownership of Your Content subject to the licenses below.
You represent and warrant that you have all rights necessary to submit Your Content and to grant the following license:
- You grant us a worldwide, non-exclusive license to host, reproduce, process, transmit, display, and execute Your Content solely to provide, secure, operate, and improve the Service (including backups, logging, abuse prevention, and support).
- If you publish functions or listings for others to discover or invoke, you grant us and end users the rights reasonably necessary for discovery, documentation, and execution under the terms you specify in product UI or manifests, subject to these Terms.
You are solely responsible for the legality, quality, and consequences of Your Content and of workloads you run on the Service—including output produced by your code or by agents you configure. We do not pre-screen all Content; use of third-party or community functions is at your own risk.
6. Third-party services and your integrations
The Service integrates with payment processors (for example Stripe), cloud and edge providers, email and analytics vendors, and other infrastructure we use to operate FunctionFly. Their use of data is described in our Privacy Policy and their own terms.
You may connect the Service to third-party accounts, APIs, repositories, or deployment targets you control. You are responsible for those relationships, credentials, compliance, and fees. We are not liable for third-party services or for downtime outside our reasonable control.
7. APIs, execution, agents, quotas, and usage charges
API access, executions, agent calls, concurrency, storage, and other resources may be subject to plan limits, fair-use policies, technical rate limits, and quotas we display in the product or documentation. We may suspend or throttle use that risks stability, security, or fairness across customers.
Where the product supports AI agents or automated callers, you are responsible for configuring policies, budgets, wallets, and safeguards for those agents. You understand that agents may invoke functions that incur fees (for example per-call charges or subscription limits) and that you are financially responsible for usage attributable to your account unless we agree otherwise in writing.
Execution results, latency, availability of specific runtimes or regions, and third-party function behavior may vary. We do not guarantee that any particular execution path, provider, or version will always be available.
8. Secrets vault
Where we offer a “vault” or similar feature, it may be designed so that certain secret material is encrypted on your side before it reaches us, and we do not have your passphrase or the ability to decrypt that material by design. You are responsible for safeguarding passphrases, recovery processes, and client environments. If you lose access to keys or passphrases, we may be unable to recover your secrets. The vault does not replace your own security, key management, or compliance program.
9. Trust, verification, and analytics
Trust scores, verification badges, certificates, execution logs, hashes, or similar signals are provided for transparency and operational purposes. They are not a warranty of security, correctness, fitness for a particular purpose, or legal compliance, and they are not a substitute for your own testing, review, and risk management—especially when integrating AI systems or third-party code.
10. FunctionFly intellectual property
The Service, including software, branding, documentation, and our proprietary models and data (excluding Your Content), is owned by FunctionFly LLC (d/b/a FunctionFly) and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights.
If you give us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them to improve the Service without obligation to you.
Copyright complaints (DMCA). If you believe content on the Service infringes your copyright, please send a notice to copyright@functionfly.com including: (a) a description of the copyrighted work, (b) the URL or other information sufficient to locate the allegedly infringing content, (c) your contact information, (d) a statement that you have a good faith belief the use is not authorized, and (e) a statement under penalty of perjury that the notice is accurate and you are the copyright owner or authorized to act on their behalf. If you submit a counter-notice, you consent to the jurisdiction of the courts identified in Section 22 for purposes of resolving the dispute. We may remove or disable access to content and may terminate repeat infringers' access where appropriate.
11. Fees, subscriptions, trials, and taxes
Some features require payment. By purchasing a subscription or paid feature:
- You agree to pay all fees, taxes, and charges shown at checkout or in your account, using the payment method on file
- Subscriptions may renew automatically until you cancel in accordance with the product instructions and applicable law
- Fees are generally non-refundable except where required by law or expressly stated in an order form
- We may change prices or plans with reasonable advance notice to affected customers
- Failure to pay may result in suspension or termination of paid features
Taxes, if any, depend on your location and product; you are responsible for providing accurate billing and tax information.
12. Beta and preview features
We may offer experimental or preview functionality. Such features are provided “as is,” may be incomplete or unstable, and may change or end at any time. They may not be covered by the same support or SLA commitments as generally available features unless we say otherwise in writing.
13. Service level agreement
We strive to maintain high availability but do not guarantee uninterrupted access. We may suspend all or part of the Service for maintenance, security, legal compliance, or events outside our reasonable control.
If a separate SLA applies to your plan or order form, that document controls for the commitments and remedies expressly stated there. If we publish an SLA on our website, it will be available at /sla.
14. Data and privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information. By using the Service, you consent to those practices, including how we use AI features and third-party model providers as described there.
15. Termination
You may stop using the Service and close your account as the product allows, or by contacting us. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or if we discontinue the Service (where we will try to provide reasonable notice).
Upon termination, your right to use the Service ceases. We may delete Your Content according to our retention practices and the Privacy Policy. Sections that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.
16. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT EXECUTION RESULTS OR TRUST SIGNALS WILL MEET YOUR REQUIREMENTS OR BE SUITABLE FOR HIGH-RISK OR REGULATED USE CASES WITHOUT ADDITIONAL CONTROLS.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNCTIONFLY LLC (D/B/A FUNCTIONFLY) AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT HAD PAYMENT OBLIGATIONS TO US.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
18. Indemnification
You will defend, indemnify, and hold harmless FunctionFly LLC (d/b/a FunctionFly) and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Your Content or your use of the Service, (b) your violation of these Terms or applicable law, or (c) your integration with or use of third-party services, functions, or AI systems in connection with the Service.
19. Changes to terms
We may modify these Terms from time to time. We will post the updated Terms and revise the “Last updated” date. If a change is material, we will provide additional notice as appropriate (for example email or in-product notice). Your continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Service.
20. Export; government users
You may not use or export the Service in violation of U.S. or other applicable export control or sanctions laws. If you are a U.S. government user, the Service is commercial computer software and commercial computer software documentation as defined in applicable FAR / DFARS provisions; use is subject to these Terms.
21. General
- Assignment: You may not assign or transfer these Terms without our consent. We may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets.
- Order forms and precedence: If you and FunctionFly sign an order form, statement of work, or other written agreement for enterprise use, that agreement will control to the extent it conflicts with these Terms for the covered services.
- Entire agreement: These Terms, the Privacy Policy, and any applicable order form are the entire agreement between you and us regarding the Service.
- Severability: If a provision is unenforceable, the remaining provisions remain in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Independent contractors: The parties are independent contractors; no agency, partnership, or joint venture is created.
- Electronic notices: We may send notices to the email associated with your account or through the Service.
22. Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction there.
23. Contact information
FunctionFly LLC operates the Service from Fort Worth, Texas, United States. Your contracting entity remains FunctionFly LLC, a Wyoming limited liability company doing business as FunctionFly.
