Service

These Terms together with our Privacy Policy govern your access to and use of FunctionFly™.

1. Acceptance of terms

These Terms are between you and FunctionFly™ LLC. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

2. The Service

FunctionFly™ provides a shared execution network where developers publish functions and AI agents discover, verify, invoke, and pay for them. The Service includes:

• Function registry — fx://author/nameartifacts, semantic versioning, multi-runtime deployment (Python, Node.js, TypeScript, WASM, Ruby, Kotlin, Rust, and others)
• Agent identities — addressableagt://owner/name agents with memory, knowledge, and approval workflows
• Runtime fleet — sandboxed execution across language runtimes with per-tier isolation (subprocess, Landlock, gVisor, Firecracker)
• Trust infrastructure — signed artifacts, execution-backed trust scores, verification badges, allow/deny capabilities, and audit logs
• State and orchestration — StateFabric durable state, MCP server endpoints, agent-to-agent (A2A) pairing, and multi-agent plans
• Embedded economy — per-call pricing, credit packs, subscriptions, agent wallets, spend caps, and revenue share for published functions
• Secrets vault — client-side zero-knowledge encryption for stored credentials and API keys
• Capability marketplace — installable third-party implants (FCIs) for payments, communications, storage, and AI providers
• Messaging — end-to-end encrypted FSMP channels between users and agents
• Studio and CLI — dashboards, CLI tools, SDKs, webhooks, and developer documentation

3. Eligibility and accounts

You agree to:

• Provide accurate, current, complete information
• Maintain password and API key confidentiality
• Accept responsibility for account activities
• Notify us of unauthorized access promptly

4. Acceptable use

You agree not to use the Service to:

• Violate applicable laws, regulations, or sanctions programs
• Infringe intellectual property, privacy, or publicity rights, or harass, threaten, or defraud others
• Distribute malware, ransomware, exploits, or other harmful code; attack systems; or attempt unauthorized access
• Mine cryptocurrency, operate botnets, or send unsolicited bulk communications
• Scrape, harvest, or extract data in violation of our rate limits or the source’s terms
• Generate, distribute, or facilitate non-consensual intimate imagery, child sexual abuse material, or content that exploits minors
• Generate content designed to deceive about its origin or to manipulate public figures, elections, or financial markets
• Circumvent rate limits, authentication, sandbox isolation, or any other technical safeguard
• Use the Service to train, fine-tune, or otherwise improve competing foundation models

5. Your content and license

“Your Content” means functions, code, configuration, prompts, agent definitions, knowledge sources, and other materials you submit. You retain ownership subject to the licenses below.

• You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display Your Content as necessary to provide the Service
• For functions published as public, you grant other users a license to discover and invoke those functions subject to the function’s declared license and pricing
• For functions published as private, you retain all rights and grant us the operational license above
• You represent that you have all rights needed to submit Your Content and to grant these licenses

You are responsible for Your Content and its consequences.

6. AI-generated content and agents

Agents and functions may produce outputs you did not anticipate. You are responsible for the outputs you choose to publish, distribute, or rely upon.

• Outputs may be similar across users; we do not guarantee uniqueness or non-infringement
• You must label AI-generated content as such where required by law (for example, certain jurisdictions require disclosure for synthetic media, election-related content, or material that depicts a real person)
• You may not represent agent outputs as human-authored when doing so is misleading or unlawful
• We may use Your Content and agent traces to operate, secure, and improve the Service, including abuse detection and deduplication

7. Marketplace, revenue share, and agent economy

When you publish a function or list an agent, you may earn a share of fees charged to invokers. Specific terms appear in the publisher agreement presented at publish time and in your account dashboard. Unless a different rate is displayed at publish time, the default publisher share is 70% of net revenue after payment processing fees (with FunctionFly™ retaining the remaining 30% as a platform fee for marketplace operations, payment processing, trust and verification infrastructure, discovery, payouts, and ongoing platform development).

• Revenue share is paid out only after accrued amounts exceed the minimum payout threshold for the chosen payout method
• We may withhold or reverse revenue share for functions that violate these Terms, our security policies, or applicable law
• You are responsible for any taxes owed on revenue share; we may require tax information before payout
• Agent owners set per-call pricing, spend caps, and approval policies; we are not a party to transactions between agents and invokers other than as the platform operator

8. Wallets, credits, and payments

The Service includes prepaid credit packs, an agent wallet for autonomous spend, and integrations with payment processors and certain cryptocurrency networks. The following applies:

• Credit packs are non-refundable except where required by law, expire per the disclosed schedule, and are consumed before wallet funds on a credits-first basis
• Agent wallets spend autonomously subject to your spend caps and approval policies; you are responsible for any actions an authorized agent takes within those policies
• Crypto payment intents are recorded on-chain at network confirmation; we credit your wallet on confirmed receipt and are not responsible for miner fees, slippage, or chain reorgs
• Disputes and chargebacks may result in suspension of payouts and reversal of credited funds while the dispute is investigated
• Payment processing is provided by Stripe and other processors; their terms govern processor-side conduct

9. Third-party services and sub-processors

The Service integrates with payment processors (Stripe), infrastructure providers (Cloudflare, AWS, Neon, Fly.io), AI model providers (Anthropic, OpenAI, Google, Cloudflare Workers AI, Groq), email and analytics vendors, and other sub-processors listed at /subprocessors. Their use of data is described in our Privacy Policy.

You are responsible for your integrations and third-party relationships, including any terms imposed by those providers.

10. APIs, quotas, and fair use

API access, function executions, and agent wakes are subject to plan limits, fair-use policies, and quotas displayed in your dashboard. We may throttle, queue, or reject traffic that risks stability, security, or other customers.

You are responsible for configuring agent policies and budgets. Agents you authorize may invoke functions that incur fees, including fees you did not anticipate; per-tenant and per-agent spend caps are the primary control.

11. Secrets vault

Vault features may encrypt secrets client-side before they reach us. We do not have your passphrase or the ability to decrypt by design.

You are responsible for safeguarding passphrases and recovery processes.

12. Trust and verification

Trust scores, verification badges, and certificates are provided for transparency. They are not a warranty and are not a substitute for your own testing and risk management. We may remove, suspend, or re-score any artifact or agent that subsequently fails verification.

13. Intellectual property

The Service and its content are owned by FunctionFly™ LLC and protected by IP laws. We reserve all rights not expressly granted. FunctionFly™, the logo, and product names are trademarks of FunctionFly™ LLC; you may not use them without prior written permission except to identify the Service.

14. Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback into the Service without restriction or attribution. Feedback is not confidential.

15. Fees and subscriptions

• Pay all fees, taxes, and charges shown at checkout or in your dashboard
• Subscriptions renew automatically for the same period until you cancel; you may cancel at any time from the billing page and the cancellation takes effect at the end of the current billing period
• Fees are non-refundable except where required by law or where we explicitly offer a refund window; we may issue prorated refunds at our discretion
• We may change prices with at least 30 days’ notice for existing subscription terms; continued use after the notice period constitutes acceptance
• Late or failed payments may result in suspension of paid features after a grace period

16. Beta and preview features

Experimental or preview features (including App Fabric, Cloud Agents, FSMP, the Capability Marketplace, Crypto Payments, and App-to-App grants) are provided “as is” and may change, break, or end at any time. They may not be covered by SLA commitments. Data you store in beta features may be migrated, reset, or deleted as those features evolve.

17. Service level

We strive for high availability but do not guarantee uninterrupted access. See /sla for plan-specific uptime commitments, measurement windows, exclusions, and service credits.

18. Privacy and data protection

Your use is governed by our Privacy Policy, which describes how we collect, use, and protect personal information, including the sub-processors we use and the rights available to you under GDPR, CCPA, and other applicable laws.

For customers processing personal data on behalf of others, our Data Processing Agreement is incorporated into these Terms by reference when you accept it in your dashboard or order form.

19. Account suspension and termination

You may stop using the Service and close your account at any time from the account settings page. We may suspend or terminate access for:

• Material breach of these Terms that you fail to cure
• Non-payment after a reasonable grace period
• Security, abuse, or compliance risk, including suspected compromise of credentials or funds
• A legal obligation or government order, or our good-faith belief that continued service would violate law
• Discontinuation of the Service or a feature

Sections that by their nature should survive termination will survive, including those on intellectual property, payment obligations, disclaimer, limitation of liability, and governing law.

After termination, we will retain Your Content for the period stated in our Privacy Policy or as required by law, after which it may be permanently deleted. You are responsible for exporting data you wish to keep before termination.

20. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR HIGH-RISK OR SAFETY-CRITICAL USE.

21. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNCTIONFLY™ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Total aggregate liability shall not exceed the greater of (a) fees paid by you to FunctionFly™ in the prior 12 months, or (b) USD $10,000. Some jurisdictions do not allow the limitation of certain damages; in those cases the limitations apply to the maximum extent permitted by law.

22. Indemnification

You will defend, indemnify, and hold harmless FunctionFly™ LLC and its affiliates, officers, and employees from and against any third-party claim arising from (a) Your Content, (b) your violation of these Terms, (c) your use of third-party services or integrations, or (d) your violation of any law or third-party right, including intellectual property, privacy, or publicity rights.

23. Changes to terms

We may modify these Terms. For material changes we will provide at least 30 days’ notice by email to the address on your account and by posting a notice in your dashboard. The updated Terms take effect at the end of the notice period. Continued use after that date constitutes acceptance. If you do not accept the updated Terms, you may close your account before the effective date.

24. Export control; government users

You may not use the Service in violation of any applicable export control or sanctions laws, including the U.S. Export Administration Regulations and the OFAC sanctions programs. You represent that you are not located in, under the control of, or a national of any sanctioned country and that you are not on any restricted-party list.

The Service is a “commercial item” consisting of “commercial computer software” and “commercial computer software documentation” under FAR 12.212 and DFARS 227.7202. For U.S. government end users, these Terms apply to the extent permitted by applicable federal procurement law.

25. General provisions

• Assignment: You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets
• Order forms: An executed order form supersedes conflicting Terms
• Entire agreement: These Terms, the Privacy Policy, and any order forms are the entire agreement between you and FunctionFly™
• Severability: If any provision is held unenforceable, the remainder remains in effect
• No waiver: Failure to enforce any provision is not a waiver of future enforcement
• Headings: Section headings are for convenience only and do not affect interpretation

26. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including internet or telecommunications outages, cloud provider incidents, denial of service attacks, power failures, civil unrest, natural disasters, pandemics, labor disputes, government actions, or changes in applicable law. In such cases our obligations are suspended for the duration of the event.

27. Notices and electronic communications

You consent to receive notices electronically at the email address on your account and through in-product notifications. Such notices satisfy any legal requirement for written communication. You are responsible for keeping your contact information current.

Legal notices to FunctionFly™ must be sent in writing to the address listed at /contact with a copy by email to [email protected].

28. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The parties shall first attempt to resolve any dispute through good-faith negotiation for 30 days. If unresolved, any legal action shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction and venue there.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
